Terms of Service
The agreement between you and unimoney — covering your rights, our responsibilities, and the rules of engagement.
These Terms of Service ("Terms") constitute a legally binding agreement between you (or the company you represent, "Customer") and unimoney Platform, Inc. ("unimoney", "we", "us"), a Delaware corporation.
By registering for an account, accessing our platform, clicking "I Agree", or by continued use of the Services, you confirm that you have read, understood, and accept these Terms in full. If you do not agree, you must not use the Services.
These Terms should be read alongside our Privacy Policy, Acceptable Use Policy, and any Order Form or Statement of Work you have executed with unimoney, all of which are incorporated herein by reference.
The following definitions apply throughout these Terms:

| User | Any individual authorised by you to access and use the Services under your account. |
| Confidential Information | Non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential. |
| Documentation | Technical and operational guides published by unimoney at docs.unimoney.io. |
To access the Services, you must create an account. You agree to:
- Provide accurate, complete, and current information during registration and keep it updated.
- Maintain the confidentiality of your credentials and promptly notify us of any unauthorised access.
- Accept responsibility for all activities that occur under your account, whether or not authorised by you.
- Not create more than one free account per company without our prior written consent.
- Not share account credentials with individuals outside your organisation.
unimoney reserves the right to suspend or terminate accounts that display signs of automated, fraudulent, or abusive activity without prior notice.
By providing payment details, you authorise unimoney (via Stripe) to charge your payment method on a recurring basis. Key billing terms:
- Invoicing — fees are billed in advance at the start of each billing cycle (monthly or annual).
- Failed payments — if payment fails, we will retry for 7 days before suspending access.
- Price changes — we will give 30 days' notice before increasing prices for existing subscribers.
- Taxes — fees are exclusive of applicable taxes. You are responsible for all taxes in your jurisdiction.
- Upgrades — plan upgrades take effect immediately; you will be charged the pro-rated difference.
- Downgrades — take effect at the end of the current billing cycle. No partial refunds.
All fees are non-refundable except as required by law or as expressly stated below:
- If we terminate your account without cause, you will receive a pro-rated refund for the unused portion of your subscription.
- Free trials are not eligible for refunds.
- Enterprise customers may negotiate different refund terms in their Order Form.
You may use the Services only for lawful B2B marketing, sales, and growth activities in accordance with these Terms and all applicable laws. You must not:
- Use the Services to send unsolicited bulk email (spam) or messages to contacts who have not opted in.
- Upload or transmit malicious code, viruses, or any content designed to disrupt, damage, or gain unauthorised access to systems.
- Scrape, crawl, or systematically extract data from the platform beyond what is permitted by our API documentation.
- Attempt to reverse-engineer, decompile, or derive source code from the Services.
- Resell, sublicense, or otherwise make the Services available to third parties outside your organisation without a reseller agreement.
- Use the Services in any way that violates applicable privacy laws including GDPR, CCPA, or CAN-SPAM.
- Impersonate unimoney or any third party, or misrepresent your affiliation with any person or entity.
- Facilitate or promote illegal discrimination, harassment, or hate speech.
unimoney reserves the right — but has no obligation — to monitor usage for compliance with this section.
The Services, including all software, designs, trademarks, logos, documentation, and underlying technology, are owned by unimoney or its licensors and are protected by intellectual property laws worldwide. These Terms do not grant you any right to unimoney's intellectual property beyond the limited licence to use the Services during your subscription.
You retain all ownership of Customer Data. By submitting Customer Data to the Services, you grant unimoney a limited, non-exclusive, royalty-free licence to host, process, and transmit your data solely to provide the Services to you. We will not use Customer Data for any other purpose.
If you provide suggestions, ideas, or feedback about the Services ("Feedback"), you grant unimoney a perpetual, irrevocable, royalty-free licence to use and incorporate that Feedback without restriction or compensation to you.
The Services may include open-source software components. A list of third-party licences is available at unimoney.io/legal/oss.
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
For customers subject to GDPR, CCPA, or other data protection regulations, we offer a Data Processing Agreement (DPA) that sets out the obligations of each party with respect to personal data processed on your behalf. To request a DPA, email legal@unimoney.io.
- You are responsible for ensuring you have the legal right to upload Customer Data to the Services.
- You are responsible for obtaining any necessary consents from individuals whose data you process via the Services.
- unimoney will process Customer Data only in accordance with your documented instructions and the DPA.
- Upon termination, Customer Data will be available for export for 90 days, after which it will be securely deleted.
unimoney targets 99.9% monthly uptime for the core platform (excluding scheduled maintenance). Uptime is measured as the percentage of minutes in a calendar month during which the Services are available.

Credits are your sole and exclusive remedy for downtime and must be claimed within 30 days of the incident via support@unimoney.io. Credits do not apply to: (a) scheduled maintenance (notified at least 48 hours in advance), (b) force majeure events, or (c) downtime caused by your actions or third-party integrations you have enabled.
To the maximum extent permitted by applicable law:
- Exclusion of consequential damages — Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill, even if advised of the possibility of such damages.
- Cap on liability — unimoney's total aggregate liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by you to unimoney in the 12 months preceding the claim, or (b) USD $500.
- Essential basis — The parties acknowledge that the limitations of liability in this section reflect the allocation of risk between the parties and form an essential basis of the bargain between them.
Nothing in these Terms limits either party's liability for: (a) fraud or wilful misconduct; (b) death or personal injury caused by negligence; (c) any liability that cannot be excluded by law.
You agree to indemnify, defend, and hold harmless unimoney, its officers, directors, employees, agents, and licensors from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use or misuse of the Services.
- Your violation of these Terms or any applicable law or regulation.
- Your Customer Data, including any claim that it infringes a third party's intellectual property rights or violates a third party's privacy rights.
- Any dispute between you and a third party relating to your use of the Services.
unimoney reserves the right, at your expense, to assume exclusive defence and control of any matter subject to indemnification. You agree to cooperate with unimoney's defence of such claims.
You may cancel your subscription at any time from your account Settings → Billing. Cancellation takes effect at the end of your current billing period. No refunds are provided for unused time in the current period.
We may suspend or terminate your access to the Services immediately if:
- You materially breach these Terms and fail to cure the breach within 14 days of written notice.
- You fail to pay fees and do not remedy the failure within 7 days of notice.
- We are required to do so by law or a regulatory authority.
- We determine, in our sole discretion, that continued provision of the Services poses a security risk to unimoney or other customers.
We may also discontinue the Services entirely by giving 90 days' notice, in which case you will receive a pro-rated refund for any prepaid fees.
- Your right to access the Services ceases immediately upon termination.
- Customer Data will be available for export for 90 days, then permanently deleted.
- Sections that by their nature should survive termination (including Sections 6, 9, 10, 12, and 13) will survive.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Before filing any formal dispute, both parties agree to attempt to resolve it informally. You may contact us at legal@unimoney.io. We will endeavour to resolve the dispute within 30 days of receiving written notice.
If informal resolution fails, disputes will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will take place in San Francisco, California. The arbitrator's decision is final and binding.
Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property or confidential information.
- Entire agreement — These Terms, together with any Order Form and incorporated policies, constitute the entire agreement between you and unimoney and supersede all prior agreements or understandings.
- Amendment — We may update these Terms at any time. Material changes will be notified by email and in-app banner with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
- Waiver — Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
- Severability — If any provision is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable; all other provisions remain in full force.
- Assignment — You may not assign these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
- Force majeure — Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, internet outages, or government actions, provided the affected party gives prompt notice.
- Relationship — The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
- Notices — Notices to unimoney must be sent to legal@unimoney.io. We will send notices to the email associated with your account.
